Upgraded RAM Not Posting

I was using TWINX CMX512-3200C2PT sticks. I recently upgraded to the CMX1024-3200C2PT TWINX sticks. When I first snapped them in, my computer would not post and I received the "System Failure due to CPU overclocking". Now, I am no computer tweaker, so I'm running defaults and not overclocking. I tried one stick at a time in all slots and found one of the sticks to not post at all. I am currently running on one of the new ones (1024MB) and one of the old ones (512MB). Is this a defective stick straight from the dealer? I received the new RAM two days ago. Any help would be much appreciated.

Please make sure that you have the latest BIOS for your motherboard and then load optimized defaults and set the Memory Voltage to 2.75 volts and then set the timings to 2-3-3-6 (CAS-tRCD-tRP-tRAS) and then test the modules one at a time with http://www.memtest.org! Please allow memtest to run 2-3 passes on each module. If you still get errors, we will be happy to replace them!
