2x CMX512 XMS3200 (3202v1.2): one module is bad?!

I just made a new system with a DFI nForce4 Ultra-D (Bios 623), a TwinX pair of XMS3200C2Pt (XMS3202v1.2). after a lot or testing i can guess that one of the modules seems bad:

Testing them one ata time (in either socket, yellow or orange) one of them always give errors with memtest.

Currently i am using one of the modules only running at 2-3-3-8, 200MHz, vdimm @ 2.7.

trying the second module on same timings start giving errors immediately, so does it need some different timings or it's a defective module?

You should be using the -1 Bios and I would set the memory voltage to 2.75 Volts and test them again to be sure, if you get errors with both modules that would suggest some other problem and I would test them in another system or MB to be sure. In addition, with this MB you have to disable legacy USB in the bios when running any memory test.
